An update on current US corporate governance topics and trends for non-US issuers

Citco Global Subsidiary Governance services organised a Corporate Governance roundtable event aimed at UK issuers at our Citco London office, which brought together a diverse group of governance experts to discuss current trends of good governance for large multinationals from both a UK and USA perspective.

Kenneth L. Wagner is Vice President and Corporate Secretary of Mallinckrodt plc (NYSE: MNK), an Irish public limited company that develops, manufactures, markets and distributes specialty pharmaceutical and biopharmaceutical products and therapies, as well as nuclear imaging products.
Mr. Wagner’s legal career includes serving as in-house counsel for five S&P 500 companies operating in four different industries (financial services, aerospace and defense, mining and pharmaceuticals), as an attorney with the Washington, D.C. law firm of Arent Fox LLP and as special counsel in the Office of Chief Counsel of the U.S. Securities and Exchange Commission’s Division of Corporation Finance.
Mr. Wagner has served in numerous leadership roles with the Society of Corporate Secretaries and Governance Professionals, including Chairman of the Board from 2012 to 2013. He currently serves as Vice President and a member of the Board of Trustees of the Academy of Science of St. Louis and as a member of the Advisory Board of the Emerson Ethics Center of Saint Louis University.
Mr. Wagner received his B.S. and J.D. degrees from the University of Kansas and his LL.M. degree from Georgetown University.
